What does it mean to
be a Nominee for AG2G?
Nominee Director Responsibilities
A Nominee Director is appointed in name but may not have real decision-making power. AG2G will request the following from our Nominees:
- The Nominee Director must sign appointment agreements confirming their role.
- In many cases, a Nominee Director only acts as a figurehead, so a private agreement may clarify that they do not make actual decisions.
- The Nominee are required to sign documents relating to compliance and corporate governance in terms of statutory filings & financial reports, ensuring all regulations are met.
- AG2G acts on instruction from our licenced Agent who acts on behalf of the beneficial owner and provides guidance on what the Nominee can or cannot do.
- Providing KYC Documents – AG2G will require identity verification (passport, utility bills, etc.) to comply with AML laws.
Nominee Shareholder Responsibilities
A Nominee Shareholder holds shares on behalf of someone else (the beneficial owner). Their duties include:
- Signing a Declaration of Trust – This document states that the Nominee holds shares on behalf of the beneficial owner and has no real ownership rights.
- Providing KYC Documents – AG2G will require identity verification (passport, utility bills, etc.) to comply with AML laws.
- Following AG2G’s Guidelines – we may outline specific duties, reporting requirements, and restrictions on the Nominee’s actions.
Key Role of AG2G in Managing the Nominee
- Acts as a buffer between the Nominee and the Company’s actual owners.
- Ensures Legal compliance, including corporate governance and AML regulations.
- Provides guidance and support to protect the Nominee from liability.
- Ensures the Registered Agent handles statutory filings and regulatory obligations on behalf of the Nominee if needed.
