Recent regulatory developments in The Bahamas and Malta directly affect the nominee services AG2G can provide. Following a careful review, we are updating our services to ensure that AG2G, our nominees and our clients remain compliant.
The Bahamas: Nominee directors prohibited
Effective 30 June 2026, nominee directors are prohibited under Bahamian legislation.
A person ceasing to act as a nominee director must submit a declaration to the company and the Registrar of Companies within seven days.
As a result, AG2G can no longer provide nominee director services for Bahamian companies. Affected clients should work with their licensed agent to arrange the nominee’s resignation and appoint a suitable replacement director.
The Bahamas: Nominee shareholders remain permitted
Nominee shareholder services remain permitted, but stricter disclosure and record-keeping requirements now apply:
- The arrangement must be recorded in the company’s Memorandum of Association and Register of Members.
- A Declaration of Trust or Trust Agreement must identify the beneficial owner.
- The relevant trust documents and current beneficial ownership information must be held by the registered agent.
- Any changes must be reported within 15 days.
AG2G may continue supporting Bahamian nominee shareholder appointments where the arrangement is lawful, fully disclosed and properly documented. Clients and licensed agents must provide the required company, trust, beneficial ownership and KYC information promptly.
Malta: Discontinuation of Nominee Services
Due to new legislative requirements, service providers must maintain a physical presence and office in Malta to continue providing nominee services to Maltese entities.
As establishing a local office is not commercially viable for AG2G, we have decided to discontinue all nominee services for companies and other entities registered in Malta. Affected clients are encouraged to contact us to discuss the necessary transition arrangements.
What this means for our clients
AG2G remains committed to providing lawful, transparent and properly documented nominee services in jurisdictions where these services are permitted and where AG2G can satisfy the applicable requirements.
Our team will work with affected clients and licensed agents to support an orderly transition, including the preparation and signing of appropriate resignation or transfer documentation within the scope of our services.
If your company is registered in The Bahamas or Malta and currently uses an AG2G nominee, please contact us without delay so that your appointment can be reviewed and the necessary next steps agreed.
